( 1 ) NON-CO-OPERAIION by the employees if Govt. Directors are not continued is not an irrelevant consideration though this alone may not be sufficient to pass an order under Sec. 408 (1 ). While rules of natural justice have to be observed it is no requirement of law. That all the grounds should be stated in the SHOW CAUSE NOTICE. Such grounds can be communicated before a decision is taken. It is for the Central Govt. to decide as to how many directors are to be appointed and as to who should be appointed. The section does not postulate any hearing on this.
