ORDER : 1. Special leave granted. 2. Having heard the learned counsel for the parties, we make, in substitution of the order of the High Court of Delhi against which this appeal is filed, the following order: 3. All elections to be held at the annual general meetings of the company pending disposal of Company Petition No. 58 of 1979 on the file of the High Court of Delhi shall be held in accordance with the judgment and directions dated December 18, 1981 in Company Petition No 25 of 1981 on the file of the High Court of Delhi. 4. We appoint Shri G. Vishwanath Iyer, Senior Advocate of this Court as the Chairman for convening, holding and conducting all the three annual general meetings for the years ending 31.1.1982, 31.3.1983 and 31.3.1984 and for holding elections for the year 1984-85. The remuneration of Shri Iyer fixed at Rs. 10,000/-. Any expenditure incurred by Shri Iyer would be paid out of the company's funds. The company will pay the sum of Rs. 10,000 to Shri Iyer within two weeks from today. The annual general meetings and the election shall be held as early as possible and in any event not later than November 15, 1984. Shri Iyer may if he finds it necessary appoint scrutineers etc., for the purpose of conducting the elections and it is open to him to take such assistance as may be necessary from the parties also. 5. If the parties find any need for directions regarding the holding of meetings and elections they should approach this Court. It is made clear that this order will be applicable to all `annual general meetings and elections to be held during the pendency of the Company Petition No. 58 of 1979 on the file of the High Court of Delhi. 6. The appeal is allowed accordingly with no order as to costs.
