ORDER : Sabyasachi Mukharji, J. 1. Mr. Anil Jhala, Company Secretary of the Swadeshi Polytex Limited mentioned this matter pursuant to the directions of Shri Jaswant Singh, Chairman, appointed to the 17th Annual General Meeting by a letter dated 25th February, 1988, a copy of which is filed in the court. 2. Shri A.N. Kukreja, Secretary of the National Textile Corporation also makes his submissions. 3. Having considered the submissions made by the parties it is reiterated again that notice will go as it is and no new matter which has not been notified for the 17th Annual General Meeting will be transacted at that Meeting. If as a consequence thereof no auditor could be appointed the consequences contemplated by Section 224A (2) of the Companies Act will come into operation. 4. Our attention was drawn to a letter dated 24th February, 1988 from the Secretary, Swadeshi Polytex Limited stating that the shares have been transmitted in the name of the National Textile Corporation (U.P.) Limited, Kanpur. All transactions will take place on that basis and the shares will stand transferred in the name of National Textile Corporation (U.P.) Limited, Kanpur.
