JUDGMENT : Aniruddha Bose, J. The applicants in CAN 3937 of 2017 are two individuals who claim to have participated in the auction process and were the highest bidders in respect of the properties of the subject company situated at Tamluk, district of Purba Medinipur. 2. Their grievance is that registration is not being effected in respect of the sale which was confirmed by this Court. In the event the applicants have already deposited the amount on account of stamp duty, the concerned registering authority shall register the Deed in terms of our direction issued on 5th October, 2016. The application being CAN 3937 of 2017 shall stand disposed of in the above terms. 3. We are issuing this direction as the sale was effected upon proper advertisement inviting bids from the general public and obtaining the highest possible price through such process. In the case of State of West Bengal v. Sati Enclave [2010(3) CHN (Cal) 651], a Special Bench of this Court has held:- "27.1. Coming to the next question as to whether the Court sale as contemplated by the question referred by the learned Division Bench as well as the learned Single Judge can be considered as open market sale, we are of the view that were an advertisement has been published in a daily newspaper having wide circulation in the concerned city/town where the property is situated, the same is to be considered as an open market sale. 27.2. We may add that the Court may be well advised to get the valuation of the property made by a registered valuer for the purpose of fixing the reserve price before issuing advertisement in the newspapers. But this cannot be insisted upon as a prerequisite or condition precedent, as the facts of the sate by the Company Court in the second reference indicate that it is not always possible to get bids above reserve price or even matching the reserve price." 4. Mr. Ahmed, learned Counsel for the Committee apprises us that on 19th June, 2017 the Committee is meeting with all the stakeholders for working out the modalities pertaining to sale of assets and also for consideration of a scheme to be submitted by the companies who are commonly referred to as the Tower Group. Mr. Mitra, learned Senior Counsel for SEBI submits that his clients has received certain offers pertaining to immovable properties of a group company for the district of Cachar, Assam. We are of the view that SEBI should place the offer to the Committee for consideration. We shall take up this matter on 26th June, 2017. 5. Other bidders or persons interested in the assets of the company shall approach the Committee.
