ORDER 1. With the consent of learned counsel for the parties, the matter is finally heard. 2. Writ Petition No. 8221/2015 is directed against the order dated 10.11.2015 passed by the State Government in an appeal under section 40 of the Madhya Pradesh Society Registrikaran Adhiniyam, 1973 (referred as Adhiniyam 1973). The appeal was directed against the order dated 6.1.2010 passed by the Registrar, Firms and Societies. 3. Whereas, in Writ Petition No. 1821/2016, besides the order dated 10.11.2015, the petitioner has also questioned the order dated 10.7.2017. 4. The controversy relates to managemental control of the Society, viz, “Pratap Chhattralaya, Guna”, a Society registered under the United State of Gwalior, Indore and Malwa (Madhya Bharat) Societies Registration Act, 1950. 5. The controversy relates to the authenticity of membership of respective factions. Whereas, the petitioners in Writ Petition No. 8221/2015 claim their's to be the authentic. The petitioner in W.P. No.1821/2016 while stating that the petitioner in Writ Petition No. 8221/2015 has no locus having no statutory base foundation, claim its membership as authentic. 6. Earlier, these very petitioners had approached this Court vide Writ Petition No. 1416/2004 and Writ Petition No. 1296/2004 against the order dated 18.6.2004; whereby, Registrar, Firms and Societies in purported exercise of powers under section 34 of the Adhiniyam, 1973, cancelled the registration of Society and directed for vesting of immovable property of the Society with the State Government. Taking note of the statutory provisions contained under sub-sections (3) & (4) of section 34 and subsections (1) & (3) and proviso thereof, of section 33 of the Adhiniyam, 1973, learned Single Judge faulted with the order dated 18.6.2004. As the dispute regarding membership was noticed, the said Writ Petition was disposed of with the direction that : “The respondent No. 2, Registrar, Firms and Society is hereby directed to hold election of the Office bearers of the society within a period of three months from the date of the receipt of the copy of the order. Upto that period the Officer bearers who were elected in the year 1995 may continue as Officer bearers of the society. If there is any dispute about the membership of the society Registrar shall decide the same within the aforesaid period.” 7. There being the dispute regarding membership, Registrar took up the issue. By order dated 6.1.2010, it is held that there are no valid members in the Society. The Registrar arrived at two distinct findings in respect of respective petitioners in Writ Petition No. 8221/2015 and in Writ Petition No. 1821/2016, which will be dwelt with later. Both the petitioners challenged the order dated 6.1.2010 before the State Government under section 40 of the Adhiniyam, 1973. The State Government vide order dated 10.11.2015 upheld the same. The order is being challenged by both the parties vide these Writ Petitions. 9. In the interregnum, in Writ Petition No. 8221/2015, following order was passed on 20.3.2017: “Petitioner has filed this writ petition being aggrieved by the order dated 10.11.2015 passed by the State Government of Madhya Pradesh Commerce and Industry & Employment Department, whereby it has upheld the orders passed by the Registrar Firms & Societies, Bhopal holding that there is no valid member in the petitioner's society on the basis of which elections may be held in relation to the petitioner's society. This order has been upheld by the State Government in appeal but learned counsel for the petitioners submits that the society is in existence since 1955 and now the Assistant Registrar has produced record of the society as was obtained by the petitioner's society and has been enclosed along with an application dated 2.3.2017 bearing IA No.1677/2017. It is submitted that since Assistant Registrar, Chambal Division, Gwalior has furnished the record which was in custody of the Assistant Registrar, this matter be remanded back to the Registrar with liberty to the petitioners to produce such record as has been supplied to him by the Assistant Registrar and thereafter Registrar be asked to take decision on the feasibility of conducting election on the basis of the record which has been supplied by the Assistant Registrar. This prayer of the petitioner is vehemently opposed by the learned Panel Lawyer for the State and submits that it was the duty of the petitioners to have produce the record available before the Registrar and now at this belated stage obtaining the record and submitting it before the Registrar will not serve any useful work. After taking into consideration the documents on record and the submissions made by the opposite party, it is apparent that the issue which is to be decided by the Registrar is about the existence of valid members of the society, on the basis of which election can be conducted to run the affairs of the society in terms of the provisions contained in the Societies Registration Act, 1973. It is petitioner's contention that since the record of the society was in custody of the Assistant Registrar, Firms & Societies, Gwalior and some vested interests were not willing to part with the record to the petitioners and in fact one of the claimants claiming property of the society as his personal property has already lost before the civil Courts, therefore, merely delay in obtaining the records will not defeat the purpose of managing the society in terms of the provisions contained in the Act and Rules made there under. In any case, it is the responsibility of the Registrar to call for the record from his subordinate authorities and should have examined the record even if petitioner could not produce such record and no such efforts were made to call for the records pertaining to the society from the office of the Assistant Registrar, Gwalior and, therefore, in the opinion of this Court ends of justice requires that the said record be directed to be produced before the Registrar so that on the basis of such record Registrar may verify the factum of genuineness of it or otherwise take a pragmatic view as per the provisions contained in the Act and Rules made there under. Matter is remanded back to the Registrar and the petitioner shall appear before the Registrar on 11th April 2017 and on all such dates as may be given by the Registrar thereafter and it is expected from the Registrar that he shall make endeavor to decide the dispute within a period of three months after giving opportunity of hearing to the parties. There is no iota of any perversity. Though the petitioner in Writ Petition No. 8221/2015 has questioned the correctness of the findings by the Registrar as to their legal status qua the Society. However, it is borne out from the pleadings in the Writ Petition No. 8221/2015, that it is Zila Rajput Parishad, Guna, which operates the institution Pratap Chhattralaya. In paraghraph 5.2 of the Writ Petition No. 8221/2015, it is categorically stated on affidavit : “5.2 That, Pratap Chatralaya or Pratap Chatrawas is an institution run by the Zila Rajput Parishad, Guna. For the purpose of running the institution Rules were framed. Copy of the rules is annexed herewith and marked as Annexure P-4. Some of the petitioners have signed the Rules so framed.” Whereas the fact as borne out from the Certificate of Registration of Society brought on record of Writ Petition No. 8221/2015; as Annexure P-3 that the Society is 'Pratap Chhattralaya, Guna' which is a body registered. The Certificate of registration brought on record is reproduced for ready reference : “CERTIFICATE OF REGISTRATION OF SOCIETY (Act No. 53 of 1950) S.No 176 of 1955 I HEREBY CERTIFY That the Pratap Chhatralya Guna has this day been registered under the United State of Gwalior, Indore and Malwa (Madhya Bharat) Societies Registration Act No. 53 of 1950 (Samvat 2007). Given under my hand at Indore this Fifteenth day of July One thousand nine hundred and fifty five. Sd/- Registrar of Joint Stock Companies Madhya Bharat, Gwalior, Indore To, Pratap Chhatralya C/o Shri Ram Dayal Singh Raghuvanshi M.L.A. Guna (M.B.)” This factual aspect thus clears the maze that the petitioner in Writ Petition No. 8221/2015, Shri Geetam Singh Parihar is not a President of Pratap Chhattrawas. Pratap Chhattrawas is not a body registered. But the body registered is 'Pratap Chhattralaya, Guna'. Whereas, Zila Rajput Parishad, Guna, as evident from Annexure P-4 is a nonstatutory body and Dr. Prahlad Singh Sikarwar (who has sworn affidavit in support of the petition) is a President of said organization. That being so, the members of Zila Rajput Parishad, Guna cannot as a matter of right claim the right of membership of “Pratap Chhattralaya, Guna”. Their challenge to the orders dated 6.1.2010 and 10.11.2015 is negatived. Now coming to the aspect of membership. Except the Certificate of Registration of “Pratap Chhattralaya Guna” neither of the parties have filed the relevant bye-laws. Their challenge to the orders dated 6.1.2010 and 10.11.2015 is negatived. Now coming to the aspect of membership. Except the Certificate of Registration of “Pratap Chhattralaya Guna” neither of the parties have filed the relevant bye-laws. The bye-laws (Anneuxre A-4) filed by the petitioner in Writ Petition No. 8221/2015 are of “Zila Rajput Parishad, Guna” and not of “Pratap Chhattralya Guna”. Even the bye-laws filed by the petitioner in Writ Petition No. 1821/2016 (Annexure P-2) is of 'Pratap Chhattrawas' and not 'Pratap Chhattralaya'. No material is commended at by the petitioner as would indicate that the name of “Pratap Chhattralya, Guna” a body registered vide Certificate of Registration, Annexure P-2, has been by an order by competent Authority is changed to that of 'Pratap Chhattrawas'. Though it can be said that the 'Chhattrawas' is synonym to 'Chhattralaya'; however, 'Pratap Chhattralya, Guna' being a registered body, a synonym, unless registered and recognized under law, will not, in the considered opinion of this Court, replace the original. That the bye-laws of “Pratap Chhattralaya, Guna” being not on record as would reveal as to who can be, and how many type of members there can be of the said Society. “Member of a Society” as defined under section 3(b) of Adhiniyam, 1973 means “a person who have been admitted in the society according to the regulations thereof, continues for the time being, to be a member of the society :- (i) having paid subscription; (ii) having signed the roll or the list of members; and; (iii) having not resigned; in accordance with the regulations of the society.” Section 9 of Adhiniyam, 1973 provides for “Regulations of Society” which provides for : “9. Regulations of society - The regulations of a society may provide for- (i) the conditions of admission of members; (ii) the liability of members to fines and forfeitures under certain circumstances; (iii) the consequences of non-payment of any subscription or fine, the resignation and expulsion of members; (iv) the appointment and removal of trustees and their powers; (v) the manner of appointing and removing the governing body and the powers of such body; (vi) the time and place of annual meeting and other meetings of the society; (vii) the manner in which notice of such meetings may be given; (viii) the quorum necessary for the transaction of business at meetings of the society; (ix) the manner of making, altering and rescinding regulations; (x) the investment of funds, keeping of accounts and for an annual or periodical audit of accounts; (xi) the manner of dissolving the society; (xii) the determination after dissolution that property be utilised by Government according to section 36; (xiii) Matters, to be provided by byelaws and the manner in which they shall be made; and (xiv) such other matters as may be thought expendient having regard to the nature and objects of the society.” As adverted supra no material is commended at to establish that there exist regulation or the byelaws of society. Chapter IV of Adhiniyam makes provision regarding members, their Rights and Privileges. Section 16 whereunder stipulates : “16. Register of members (1) The subscribers of the memorandum of association shall be the first members of the society. (2) Every society shall maintain at its head office a register of its members and shall enter therein, the following particulars, namely : (a) name, address and signature with date of each members; (b) the date on which the members are admitted; (c) the date on which the members ceased to be members. (3) The register of members shall be prima facie evidence of the membership of the society and of all matters entered therein : Provided that no members whose subscription for the time being in arrear for a period exceeding six months shall be entitled to vote in any proceedings of the society under this Act. (4) If entries are not made in the register of members within thirty days of the admission of a member or cessation of membership, every office bearer in default shall be punishable with fine which may extend to five hundred rupees.” Evident it is from the findings of the Registrar in the order dated 6.1.2010 about the members of “Pratap Chhattralaya, Guna” that in 1980-81 there were 39 members, of whom 31 members were shown of having Rs. 500/- each, 4 members Rs.10/- each and 4 members Rs.2/- each. The list, however, cannot be said to be authentic, as it did not contain any signature, nor there was any detail as regard to the date on which these members were admitted. Another list of 224 members was produced of the year 1995, wherein 215 members were shown as life members, 6 members Rs.2/- each and 1 member Re.1/-. However, vide order dated 10.7.2017 Registrar returned the findings, as regard to membership on the basis of some record found in the Office of Assistant Registrar, Firms and Societies, Gwalior and the number of membership is different than what was found vide order dated 6.1.2010. The order passed on 10.7.2017 is primarily on the basis of the direction given in Writ Petition No. 8221/2015 on 20.3.2017, on the basis of list filed by the petitioners therein claiming it to be the certified copy of the list. Since the petitioner in Writ Petition No. 8221/2015 is found to be an incursor and being not a body registered under Adhiniyam, 1973, it can be said with certitude that the list of membership furnished by them is not authentic. It is only a Register of member as mandated vide section 16 of Adhiniyam, 1973 which reflects the correct status of membership. The petitioner having failed to commend to any such “Register of members”, the Registrar, Firms and Societies, in the considered opinion of this Court, is justified in holding that there are no legal members of the Society, by order dated 6.1/2010. In other words, the petitioner in Writ Petition No. 8221/2015 is not a body registered under Adhiniyam, 1973 as would have any locus standi to bid for the Society, viz, “Pratap Chhattralaya, Guna”, a registered Society. As regard to other findings which affirm the verdict that the Society “Pratap Chhattralaya Guna” has no legal membership, is based on cogent analysis of material facts on record, as would warrant any indulgence. Consequently, the impugned order dated 6.1.2010 and its affirmation by order dated 10.11.2015 are upheld. The order dated 10.7.2017 is quashed. The issue which still remains to be answered is as to the action which the Registrar, Firms and Societies can take in the given fact situation. It is observed from the order dated 26.6.2008 passed in Writ Petition No. 1296/2004 that, the Coordinate Bench with the aid of the provisions contained under sections 33(1), 33(2), 34(2) and 34(3) of the Adhiniyam, caused indulgence with the order dated 18.6.2004 whereby “Pratap Chhattralaya Guna”. Section 33 of Adhiniyam, 1973 is applicable for the State aided Society. Whereas, Chapter VIII of the Adhiniyam 1973 deals with Dissolution of Societies. Sub-section (2) & (3) of section 34 of Adhiniyam empowers the Registrar, Firms and Societies to take steps for dissolution. These provisions stipulate : “34. Provision for dissolution of societies and adjustment of their affairs – (1) XX XX XX (2) The Registrar may, if no information received by him or otherwise is of the opinion that a society has become defunct or has been persistently making default in the observation of the provisions of this Act, or the regulations or byelaws made thereunder, by a notice served on the society, call upon the governing body within the period specified in the notice which shall not be less than thirty days, to show cause as to why registration of the society should not be cancelled. (3) The Registrar may after considering the reply received, if any, after the expiry of the notice period on being satisfied that no useful purpose is likely to be served by continuing the society by an order in writing cancel the registration thereof as from the date specified in the order and thereon society shall be deemed to have been dissolved for the purposes of the Act.” In view whereof and in the given facts, the Registrar, Firms and Societies is directed to take steps under section 34(2) and (3) of Adhiniyam, 1973 and pass orders in accordance with law after affording an opportunity of hearing to the “governing body” of “Pratap Chhattralaya, Guna”. By governing body, this Court means, the body as defined under section 3(a) of the Adhiniyam, 1973 “the Governors, Council Directors, Committee, Trustees or other body, by whatever name called to whom by the regulations of the society management of its affairs is entrusted”. The Registrar, Firms and Societies would be at liberty to even determine as to whether there exists any governing body. Let the decision be taken within three months from the date of communication of this order. Till then the Registrar, Firms and Societies shall appoint an Administrator, not below the rank of Assistant Registrar, Firms and Societies, to manage the day to day affairs, if any, of the Society. The office bearers who have continued since 1995 shall hand over the entire management of “Pratap Chhattralaya Guna” Society to the Administrator appointed by the Registrar, Firms and Societies. The writ petitions are disposed of finally in above terms. No costs.
