JUDGMENT Hemant Chandangoudar, J. - These writ petitions are filed challenging the impugned orders passed by the Deputy Commissioner, Bengaluru Urban District refusing to grant license in favor of the petitioners for exhibition of cinemas under the provisions of the Karnataka Cinemas (Regulation) Act, 1964 (for short 'Act'). 2. The petitioners and private respondents have filed joint memos stating that they have amicably resolved dispute among themselves and the respondents No. 4 to 7(a) in WP No. 20178/2021 and respondents No. 1 to 4(a) in WP No. 20181/2021 have no objection for granting licenses for exhibition of cinemas as per the provisions of Act subject to terms and conditions contained in the joint memo. 3. The petitioners and private respondents are present before the Court. 4. The joint memos filed by the parties are placed on record. 5. The terms and conditions of the joint memos read as follows: (1) WP No. 20178/2021: 1. The Petitioner hereby concedes that the Respondents 4 to 7A herein are the absolute owners of the land and the buildings standing thereon comprised of Nartaki and Sapna theatres and adjacent thereto. The Petitioner hereby withdraws all the contentions raised by it in the writ petition made against the said respondents. 2. The Petitioner and all its Partners have decided and unanimously passed resolution to put an end to the litigation with regard to the Nartaki and Sapna forming part of the composite properties bearing municipal Nos. (old Nos. 14, 15 and 16) thereafter 24, 25 and 26 earlier, (property No. 26 now numbered as No. 26/1 and 26/2), situated on Kempe Gowda Road, Bengaluru-560009, and surrender vacant possession of the said premises along with the buildings to the Respondents 4 to 7A with a time frame, by conceding that the said properties belong to the Respondents 4 to 7A and authorising one of its partners, Sri Raj Y. Shinde to sign and act on behalf of the petitioner-Firm. For the said purpose, the Petitioner has sought time to quit and surrender vacant possession of the Nartaki and Sapna Cinema Theatres during which period to permit it to exhibit the cinematograph films. 3. For the said purpose, the Petitioner has sought time to quit and surrender vacant possession of the Nartaki and Sapna Cinema Theatres during which period to permit it to exhibit the cinematograph films. 3. The Petitioner hereby further represents and assures the Respondents 4 to 7A that other than the Petitioner there are no others in occupation of the said two theatres and that the Petitioner has not inducted any other third party into any portion/s thereof nor will he induct any third parties until surrendering vacant possession thereof to the Respondents 4 to 7A herein. The petitioner is aware that the Respondent No. 7, Ms. Vasantha Cola @ C.K. Vasantha died a testamentary death on 10-09-2017 leaving behind her last Will dated 29-10-2013 bequeathing her properties including the Schedule II Property to the said lease deed dated 8-2-1970 that had been executed in favour of Santhosh Enterprises under whom the Petitioner claimed as a sub-tenant, in favour of the Respondents No. 4 and 7A herein. 4. Towards damages for the use and occupation of the said two theatres, from 1-6-2015 till date and the litigation expenses, the Petitioner has agreed and undertaken to pay a total sum of Rs. 1,25,00,000/- (One Crore Twenty Five Lakhs only), in three (3) equal instalments to the Respondents 4 to 7A commencing from this day and ending within 3 months. Accordingly, the Petitioner has this day paid a sum of Rs. 41,66,667-00 (Rupees Forty One Lakhs Sixty Six Thousand Six hundred and Sixty Seven only) by Pay orders made in favour of the Respondents 4 to 6 to the credit of the Respondents No. 4 to 7A being the first instalment towards the said arrears of damages as under:- (a) a sum of Rs. 13,88,889-00 by pay order No. 002677 dated 17-08-2022 obtained from Bank of Baroda, Kempe Gowda Road, Bengaluru drawn in favour of Sri C. Krishna Kumar, the Respondent No. 6 herein; and (b) a sum of Rs. 13,88,889-00 by pay order No. 002678 dated 17-08-2022 obtained from Bank of Baroda, Kempe Gowda Road, Bengaluru drawn in favour of Sri Krishna Jeet Cola, the Respondent No. 4 herein; and (c) a sum of Rs. 13,88,889-00 by pay order No. 002679 dated 17-08-2022 obtained from Bank of Baroda, Kempe Gowda Road, Bengaluru drawn in favour of Ms. Priyale Prasad, the Respondent No. 5 herein, the receipt of the said sum of Rs. 13,88,889-00 by pay order No. 002679 dated 17-08-2022 obtained from Bank of Baroda, Kempe Gowda Road, Bengaluru drawn in favour of Ms. Priyale Prasad, the Respondent No. 5 herein, the receipt of the said sum of Rs. 41,66,667-00 (Rupees Forty one Lakhs Sixty Six thousand Six hundred and Sixty Seven only), the Respondents 4 to 7A hereby acknowledge of having this day received in Court from the above Petitioner towards part of the arrears of damages agreed. 5. The Petitioner hereby agrees and undertakes to pay the balance of the arrears of damages in two monthly instalments on or before the 15th September and 15th October 2022, respectively to the Respondents 4 to 7A in the manner hereinbefore mentioned, and clear the entire arrears. 6. Having regard to the discussions the Respondents 4 to 7A and the Petitioner had, the Respondents 4 to 7A have agreed to and do hereby permit the Petitioner to lawfully exhibit the cinematograph films in the Narthaki and Sapna theatres after obtaining licenses and renewal thereof for a period of six years from 18-8-2022 subject however to the Petitioner agreeing and undertaking to punctually pay a sum of Rs. 6,00,000/- (Rupees Six Lakhs) initially for each month in advance, towards the damages/mesne profits for their occupation of the said theatres during their occupation ending with 17-08-2028. 7. The said term herein agreed shall not be extended any further for any reasons whatsoever and the Petitioner shall quit and voluntarily surrender vacant possession of the said 2 theatres to the Respondents 4 to 7A without any demur and without driving the Respondents 4 to 7A to Court again for enforcing the decree that may be passed in terms of the compromise in the pending civil suit, O.S. No. 10270 of 2015. 8. The Petitioner hereby agrees and undertakes to pay the revised damages by 5% each year on the last monthly damages payable before such expiry of the year unto the Respondents 4 to 7A and the details of the said payments are tabulated herein below, in equal parts to respondents No. 4, 5 & 6 herein:- 9. The Petitioner herein hereby agrees and undertakes to continue to pay the municipal taxes relating to the said two Cinema theatres till it surrenders vacant possession thereof unto the Respondents 4 to 7A within the time as agreed herein before. 10. The Petitioner herein hereby agrees and undertakes to continue to pay the municipal taxes relating to the said two Cinema theatres till it surrenders vacant possession thereof unto the Respondents 4 to 7A within the time as agreed herein before. 10. The Petitioner shall be liable to pay the GST on the said damages payable by them each month without any liability of the Respondents 4 to 7A in that behalf. 11. In view of the settlement herein arrived at, the Respondents 4 to 7A hereby consent for the Petitioner obtaining the license for lawful exhibition of cinematograph films in the said 2 theatres Sapna and Narthaki during the period from the 18th day of August 2022 till six years ending on 17-08-2028, with the licenses coming to an end on the said day. Thereafter, the Petitioner herein will not have any right to seek renewal/regrant or grant of license under the provisions of the Karnataka Cinemas (Regulation) Act, 1964 and the Rules thereunder and as may be amended from time to time nor shall exhibit the cinematograph films thereafter but surrender the vacant possession of the said two theatres on or before 17-08-2028 to the Respondents 4 to 7A. 12. On or before expiry of the said date, the Petitioner herein hereby agrees and undertakes to quit and voluntarily surrender vacant possession of the said 2 theatres without causing any damage thereto and without any objection whatsoever & without driving the Respondents 4 to 7A to Court again for execution of the decree that may be passed in the said suit in pursuance of the compromise arrived at & being filed therein. The Petitioner hereby agrees that the time herein agreed shall not be extended for any reasons whatsoever. 13. In the event of the Petitioner herein failing to comply with all or any of the undertaking herein above including quitting and voluntarily surrendering vacant possession of the said two theatres Sapna and Narthaki, then they shall forfeit the permission herein accorded by the Respondents 4 to 7A and the benefit of this compromise terms. 13. In the event of the Petitioner herein failing to comply with all or any of the undertaking herein above including quitting and voluntarily surrendering vacant possession of the said two theatres Sapna and Narthaki, then they shall forfeit the permission herein accorded by the Respondents 4 to 7A and the benefit of this compromise terms. In such event, the Respondents 4 to 7A shall be entitled to take possession by execution of the decree that may be passed in pursuance of the compromise petition that may be passed in the said civil suit, O.S. No. 10270 of 2015 pending on the file of the City Civil Court, Bengaluru in CCH 68, at the costs of the Petitioner and the Petitioner shall be liable to pay damages at Rs. 14 Lakhs per month or part thereof after the said date until they surrender vacant possession of the said theatres. 14. Both the parties herein hereby place on record that the Compromise herein arrived at by and amongst them culminating in this joint memo, is just and proper and is on their own volition without any undue influence or coercion for entering into this compromise. The Respondent No. 7A, Sri C. Krishna Prasad is laid up in bed due to hip fracture sustained by him few months ago and hence he has authorised his brother, the Respondent No. 6 to act on his behalf pursuant to a power of attorney executed and authenticated. 15. In the event of the Petitioner committing breach of any of the terms herein and/or the terms that are agreed in the said compromise petition in the said civil suit, O.S. No. 10270 of 2015, then the petitioner shall forfeit all his rights whatsoever under this joint memo and the Respondents No. 4 to 7A in such event shall be entitled to proceed against the petitioner for execution of the decree that may be passed in the said civil suit besides seeking cancellation of the cinema license amongst other reliefs at the cost of the Petitioner and further to proceed against the petitioner for committing contempt of the order that may be passed in pursuance hereof in the above writ petition. 16. In view of the compromise herein arrived at by the Petitioner and the Respondents 4 to 7A the Hon'ble Court may be pleased to dispose off the above writ petition in terms hereof. 16. (2) WP No. 20181/2021: 1. The Petitioner hereby concedes that the Respondents 1 to 4A herein are the absolute owners of the land and the buildings standing thereon comprised of Santosh, Nartaki and Sapna theatres and adjacent buildings thereto and the land comprised in the Schedule I and II herein bearing municipal Nos. (old Nos. 14, 15 and 16) thereafter 24, 25 and 26 earlier, (property No. 26 now numbered as No. 26/1 and 26/2), having PID No. 27-23-24, 27-23-25, situated on Kempe Gowda Road, Bengaluru-560009. The Petitioner hereby withdraws all the contentions raised by it in the writ petition made against the said respondents and the said Schedule properties. 2. The Petitioner and all its Partners have decided and unanimously passed resolution to put an end to the litigation with regard to the Nartaki and Sapna forming part of the composite properties bearing municipal Nos. 24, 25 and 26 earlier, (property No. 26 now numbered as No. 26/1 and 26/2), situated on Kempe Gowda Road, Bengaluru-560009, and surrender vacant possession of the said premises along with the buildings to the Respondents 1 to 4A with a time frame, by conceding that the said properties belong to the Respondents 1 to 4A and a true copy of the said extract of the Resolution passed on 25-07-2022 by the Petitioner and all its partners is produced along with this Joint memo who all have authorised their partner, Sri B.S. Arun Kumar to act on behalf of the petitioner and sign and execute this Joint Memo in terms of the Compromise herein arrived at. For the said purpose, the Petitioner has sought time to quit and surrender vacant possession of the Santhosh Cinema Theatre during which period to permit it to exhibit the cinematograph films. 3. The Petitioner having undertaken, has sent letters to the tenants under them informing that they should treat the Respondents 1 to 4A herein as the absolute owners and landlords of the buildings standing on the property comprised of Santosh theatre and adjacent thereto and attorn themselves, pay rents to them on such terms as may be mutually agreed with the Respondents 1 to 4A. Copies of some of the lease deeds by which the Petitioner have demised different buildings and different portions of the buildings standing on the schedule I and II property. In so far as the rental advance/security deposits received from the respective sub-tenants, the Petitioner has made its own arrangement for repayment to them. The petitioner however, has furnished a statement of the agreed monthly rents/revised rents being paid by its sub-tenants, unto the Respondents 1 to 4A. The petitioner is aware that the Respondent No. 4, Ms. Vasantha Cola @ C.K. Vasantha died a testamentary death on 10-09-2017 leaving behind her last Will dated 29-10-2013 bequeathing her properties including the Schedule II Property to the said lease deed dated 8-2-1970 in favour of the Respondents No. 1 and 4A herein. 4. The Petitioner has decided to put an end to the litigation with regard to the Schedule 1 & 2 Properties including the buildings standing thereon and surrender vacant possession of the said premises along with the buildings to the Respondents 1 to 4A herein by conceding that the said properties belong to the Respondents 1 to 4A and for the said purpose, the Petitioner has sought time to quit and surrender vacant possession of the Santhosh Cinema Theatre while the petitioner has this day surrendered the building adjacent to Santhosh theatre viz. the Ground, first, second, third and the fourth floors of the commercial complex, including all the shops in the ground and other floors therein as well as all the shops in the ground floor of the Santhosh theatre building and in the adjoining portions. 5. The petitioner confirms that it has control and is in possession of Santhosh Theatre, the Ground, first, second, third and the fourth floors of commercial complex which is situated adjacent to Santhosh theatre and that it has not created any sub-lease or licence nor parted with the possession thereof to any others and that no such agreements, contracts subsist. 5. The petitioner has this day delivered vacant possession of the said first, second, third and the fourth floors of commercial complex which is situated adjacent to Santhosh theatre and symbolic possession of all the other sub-let portions in the Schedule-I and II Properties, including the ground and first floors, as detailed in the appended Plans wherein the portions so surrendered are earmarked as under:- (i) The area earmarked as "ABCDEFGHIJKA" in the appended Plan No. 1 being the ground floor of the Santhosh theatre building comprised of the shops in the front, more fully described in Item No. 1 of Schedule 'A' hereunder, measuring about 3140 square feet; and (ii) The area earmarked as "A1B1C1D1E1F1G1H1I1J1K1L1M1N1O1P1Q1R1S1A1" in the appended Plan No. 2 being the ground floor of the Santhosh theatre building comprised of the shops in the rear, more fully described in Item No. 2 of Schedule 'A' hereunder, measuring about 3000 square feet; and (iii) The area earmarked as "RSTUVWR" in the appended Plan No. 3 being the first-floor front portion of the Santhosh theatre building comprised of the shops, more fully described in Item No. 3 of Schedule 'A' hereunder, measuring about 2501 square feet; and (iv) The area earmarked as "A1B1C1D1A1" in the appended Plan No. 4 being the Second floor front portion of the Santhosh theatre building comprised of a vacant portion, more fully described in Item No. 4 of Schedule 'A' hereunder, measuring about 1595 square feet; and (v) The area earmarked as "ABCDEFGHIJKLMNOA" in the appended Plan No. 5 being the land and building known as, Santhosh complex situated adjacent to Santhosh Theatre building, comprised of Ground, First, Second, Third and Fourth floors of which the hind portion of Ground floor, entire first, second and third floors and a substantial portion of the fourth floor are vacant, while a portion of the 4th floor and the shops at the front on the ground floor are in occupation of sub-tenants, more fully described in Item No. 5 of Schedule 'A' hereunder, measuring about 40,045 square feet of total built area. 6. Towards damages for the use and occupation of the Schedule I and II properties from 1-6-2015 till date and the litigation expenses, the Petitioner has agreed and undertaken to pay a sum of Rs. 1,25,00,000/- (One Crore Twenty-five lakhs only) in three (3) equal monthly installments to the Respondents 1 to 4A commencing from this day and ending within 3 months by way of 3 pay orders in each installment or by way of RTGS transfer. Accordingly, the Petitioner has this day paid a sum of Rs. 41,66,667-00 (Rupees Forty One lakhs Sixty Six thousand Six hundred and Sixty Seven only) by Pay orders made in favour of the Respondents 1 to 3 to the credit of the Respondents No. 1 to 4A being the first installment towards the said arrears of damages as under:- (a) a sum of Rs. 13,88,889-00 by pay order No. 465765 dated 08-08-2022 drawn in favour of Sri Krishna Jeet Cola, the Respondent No. 1 herein; and (b) a sum of Rs. 13,88,889-00 by pay order No. 465763 dated 08-08-2022 drawn in favour of Ms. Priyale Prasad, the Respondent No. 2 herein; and (c) a sum of Rs. 13,88,889-00 by pay order No. 465764 dated 08-08-2022 drawn in favour of Sri C. Krishna Kumar, the Respondent No. 3 herein, the receipt of the said sum of Rs. 41,66,667-00 (Rupees Forty one Lakhs Sixty Six thousand Six hundred and Sixty Seven only), the Respondents 1 to 4A hereby acknowledge of having this day received in Court from the above Petitioner towards part of the arrears of damages agreed. The Petitioner hereby undertakes to pay the balance of the arrears of damages in two installments on or before the 15th September and 15th October 2022, respectively to the Respondents 1 to 4A in the manner hereinbefore mentioned, & clear the entire arrears. 7. It shall be the responsibility of the Petitioner to repay the rental advance to the sub-tenants within such time as he may agree with them. However, if the Respondents 1 to 4A were to decide to continue with the sub-tenants, then it shall be on separate terms that may be mutually agreed upon and on payment of such security deposit as the Respondents 1 to 4A deem fit without any reference whatsoever to the Petitioner herein. 8. However, if the Respondents 1 to 4A were to decide to continue with the sub-tenants, then it shall be on separate terms that may be mutually agreed upon and on payment of such security deposit as the Respondents 1 to 4A deem fit without any reference whatsoever to the Petitioner herein. 8. The Respondents 1 to 4A shall be at liberty either to continue the sub-tenants as their tenants on their own terms or at their discretion shall be entitled to pursue the suit for ejectment filed against the petitioner & its sub-tenants in O.S. No. 10270 of 2015 and pending before the learned City Civil Judge, Bengaluru and seek the reliefs against them in the said suit. The Petitioner has no objection whatsoever for the same as his tenancy has already been determined. 9. Having regard to the discussions the Respondents 1 to 4A and the Petitioner herein had, and in view of the undertaking by the petitioner, the Respondents 1 to 4A have agreed to and do hereby permit the Petitioner herein to lawfully exhibit the cinematograph films in the Santhosh Theatre after obtaining the license and renewal thereof in the name of Santhosh Theatre for a period of six years from 18-8-2022 subject however to the Petitioner agreeing and undertaking to punctually pay a sum of Rs. 2,00,000/- (Rupees Two Lakhs) initially for each month in advance, towards the damages/mesne profits for their occupation of the said theatre during their occupation ending with 17-08-2028. 10. The said term herein agreed shall not be extended any further for any reasons whatsoever and the Petitioner shall quit and voluntarily surrender vacant possession of the said theatre being the Schedule 'B' Property herein, to the Respondents 1 to 4A without any demur and without driving the Respondents 1 to 4A to Court again for enforcing the decree that may be passed in terms of the compromise petition that has been agreed to be filed in the said civil suit, O.S. No. 10270 of 2015 pending on the file of the City Civil Court, Bengaluru in CCH No. 68 within 2 weeks from this day. 11. 11. The Petitioner hereby agrees and undertakes to pay the revised damages by 5% each year on the last monthly damages payable before such expiry of the year unto the Respondents 1 to 4A and the details of the said payments are tabulated herein below, in equal parts to respondents No. 1, 2 & 3 herein:- 12. The Petitioner herein hereby agrees and undertakes to continue to pay the municipal taxes relating to the said Santosh Cinema theatre till they surrender vacant possession thereof unto the Respondents 1 to 4A within the time as agreed herein before. The Petitioner hereby further represents and assures the Respondents 1 to 4A that other than the Petitioner there are no others in occupation of the said cinema theatre and that the Petitioner has not inducted any other third party into any portion/s thereof nor will he induct any third parties nor burden or encumber the said property in any manner, until surrendering vacant possession thereof to the Respondents 1 to 4A herein. The Petitioner further hereby undertakes to file an undertaking to the effect that he shall not change or alter the structures internally or externally and not to meddle with the structures in any manner and that he shall regularly pay the agreed damages each month in advance failing which the petitioner shall forfeit the benefit of the compromise terms herein agreed and shall be liable to be proceeded against as provided herein this joint memo. 13. The Petitioner shall be liable to pay the GST on the said damages payable by them each month without any liability of the Respondents 1 to 4A herein in that behalf. 14. In view of the settlement herein arrived at, the Respondents 1 to 4A hereby consent for the Petitioner to obtain the license for lawful exhibition of cinematograph films in the said Santosh Cinema Theatre during the period from the 18th day of August 2022 till six years ending on 17-08-2028, with the license coming to an end on the said day. Thereafter, the Petitioner will not have any right to seek renewal/regrant or grant of license under the provisions of the Karnataka Cinema Regulation Act, 1964 and the Rules thereunder and as may be amended from time to time nor shall exhibit the cinematograph films thereafter but surrender the vacant possession of the said theatre on or before 17-08-2028. 15. Thereafter, the Petitioner will not have any right to seek renewal/regrant or grant of license under the provisions of the Karnataka Cinema Regulation Act, 1964 and the Rules thereunder and as may be amended from time to time nor shall exhibit the cinematograph films thereafter but surrender the vacant possession of the said theatre on or before 17-08-2028. 15. On or before expiry of the said date, the Petitioner herein hereby agrees and undertakes to quit and voluntarily surrender vacant possession of the said Santhosh Cinema Theatre without causing any damage thereto and without any objection whatsoever and without driving the Respondents 1 to 4A to Court again for execution of the decree that may be passed in the said suit in pursuance of the compromise petition being filed therein. The Petitioner hereby agrees that the time herein agreed shall not be extended for any reasons whatsoever. 16. In the event of the Petitioner committing breach of any of the terms herein by failing to comply with all or any of the undertaking herein above including quitting and voluntarily surrendering vacant possession of the said Cinema Theatre, and/or the terms that are agreed in the said compromise petition in the said civil suit, O.S. No. 10270 of 2015, then the petitioner shall forfeit all his rights whatsoever under this joint memo and the Respondents No. 1 to 4A in such event shall be entitled to proceed against the petitioner for execution of the decree that may be passed in the said civil suit pending on the file of the City Civil Court, Bengaluru in CCH 68, at the costs of the Petitioner and the Petitioner shall be liable to pay damages at Rs. 6 Lakhs per month or part thereof after the said date until they surrender vacant possession of the said theatre; besides the Respondents 1 to 4A seeking cancellation of the cinema license amongst other reliefs at the cost of the Petitioner and further to proceed against the petitioner for committing contempt of the order that may be passed in pursuance hereof in the above writ petition. 17. Other than the said Santhosh Cinema theatre, the Petitioner has surrendered possession of the rest of the portions in Schedule I and II Properties with the buildings standing thereon unto the Respondents 1 to 4A in the manner referred to herein before. 18. 17. Both the parties herein hereby place on record that the Compromise herein arrived at by and amongst them culminating in this joint memo, is just and proper and is on their own volition without any undue influence or coercion for entering into this compromise. The Respondent No. 4A, Sri C. The settlement reached between the parties is subject to realization of demand drafts issued in favour of respondents No. 4 to 6 in WP No. 20178/2021 and respondents No. 1 to 4(a) in W.P. No. 20181/2021. 7. In view of the settlement arrived at between the parties, the writ petitions stand disposed of in the following terms: i) The impugned order dated 2.11.2021 vide Annexure-A passed by the 2nd respondent and the impugned order dated 28.6.2021 vide Annexure-B passed by the 3rd respondent in WP No. 20178/2021 are hereby quashed. ii) The impugned order dated 2.11.2021 vide Annexure-A passed by the 7th respondent and the impugned order dated 28.6.2021 vide Annexure-B passed by the 5th respondent in W.P. No. 20181/2021 are hereby quashed. iii) The Deputy Commissioner, Bengaluru Urban District is hereby directed to issue licenses in favor of the Petitioners for exhibition of cinemas under the provisions of the Act and Rule 6 of the Karnataka Cinemas (Regulation) Rules, 2014 subject to compliance of terms and conditions contained in the joint memos. The said exercise shall be completed within a period of one week from the date of receipt of certified copy of this order. 8. In the meanwhile, the petitioners in these writ petitions are permitted to exhibit the cinemas in the theaters in question in accordance with law.
